All prices are stated in SEK excluding value added tax (VAT) unless otherwise specified.

Customers who have registered VAT with Lexidor AB will not be charged VAT.

Payment shall be made within thirty (30) days from the date of invoice, unless otherwise stated in writing in the quotation or order acknowledgement.

Objections to order acknowledgement must be submitted in writing by the Customer within three (3) working day from the date the order acknowledgement has been sent, in order to be valid.

In the event of late payment, interest is payable in accordance with the Interest Act (1975:635) + administrative fees.

Lexidor AB reserves the right to charge for additional work based on the time spent according to the current hourly rate. This includes, but is not limited to, time spent on extra tasks, changes in the scope of the project, or other unforeseen events that require additional work. Any costs related to the assignment will also be charged as agreed.

The following costs may be charged to the Customer: shipping, packaging, travel expenses, food, accommodation, environmental fee and supplements for work during inconvenient working hours. This applies in addition to what is stated in the quotation or order confirmation.

Delivery is by special agreement between the parties. Unless otherwise stated, delivery terms apply Ex-Works, Lexidor AB’s address according to Incoterms 2020. The stated delivery date is preliminary. Lexidor AB is not responsible for delays that are due to circumstances beyond Lexidor AB’s control.

Lexidor AB reserves the right to repossess the product if the Customer has not made full payment or meets the conditions stated in the quotation or order confirmation. The cost of repossession of the goods is charged to the Customer.

Lexidor AB guarantees that delivered goods and/or services comply with the agreed specification.

The customer is responsible for providing the necessary information and resources required for Lexidor AB to be able to fulfill its commitments.

Complaints must be made in writing without unreasonable delay, but no later than five (5) working days from receipt.

In the event of an approved complaint, Lexidor AB is entitled, at its own discretion, to remedy the defect or allow a reasonable price reduction.

Lexidor AB’s liability is in any event limited to 100% of the product price, but not more than SEK 100,000. Lexidor AB is not liable for indirect damages, such as loss of profit or loss of production.

A party is exempt from liability for failure to perform a contractual obligation to the extent that performance is prevented by circumstances beyond the party’s control, such as strike, fire, natural disaster, war, pandemic or similar event.

The agreement shall be interpreted and applied in accordance with Swedish law and language. Disputes arising from the agreement shall primarily be resolved through negotiation between the parties and, if an agreement cannot be reached, must be settled by a general court with Lexidor AB’s domicile as the forum. The number of occasions is limited to 1 and the number of lay judges to 1 and 1 judge.

Amendments and additions to the Appendix Terms and Conditions shall be in writing and signed by authorized representatives of both parties. Should any provision of these Terms and Conditions be found to be invalid, this shall not affect the validity of the remaining provisions.

These terms and conditions apply from the date of the quotation or order acknowledgement sent and are valid until further notice.

We reserve the right to deny business relationships with customers who are on the EU sanctions list, in accordance with applicable law.
